Referral agreement — draft

For information. You sign the final version electronically after KYC, with your details filled in. It is not an offer and creates no obligation until signed by both parties.

1. Parties

  1. A G H PROPERTIES L.L.C, a real estate brokerage licensed in Dubai (trade licence 1260054, RERA ORN 38903) ("AGH"); and the individual or company named in the signature block ("the Referrer").

2. Purpose and scope — primary market only

  1. The Referrer may introduce to AGH buyers who purchase property directly from a developer in the UAE, whether off-plan or ready, from developers including Emaar, Aldar, Dubai Properties, Nakheel, Meraas, Meydan, Azizi, Binghatti, Sobha and others (the "Primary Market"). Developers are named for identification only; no project, price or marketing material forms part of this agreement.
  2. This agreement does not cover the secondary market. Resales, sellers, landlords, tenants and rentals, assignments of off-plan contracts between private parties, and property management are excluded and earn no commission.

3. Eligibility of the Referrer

  1. The Referrer is an individual aged 18 or over, or a registered company, who has completed AGH's KYC and sanctions screening and holds a bank account in its own legal name in a country AGH can pay.
  2. The Referrer confirms it is not a RERA-licensed broker seeking a co-broke share, not an employee of AGH or of the developer concerned, and not the buyer or a person buying for the Referrer's own benefit.

4. Qualifying introduction

  1. A buyer counts only if, before any introduction, the Referrer registers them through the referrer portal with name, contact details and a clear requirement (budget, unit type, area or project, timeline and payment method), and AGH accepts them in writing with a reference number.
  2. AGH will not accept a buyer already on its register, already in contact with AGH, or already registered with the developer by another party.
  3. An accepted registration stays with the Referrer while the file is active, and lapses after 60 days with no activity, with notice in the portal beforehand.

5. Commission — 50/50

  1. For each completed Primary Market purchase by an accepted buyer, AGH pays the Referrer 50% of the net commission actually received by AGH from the developer for that purchase. AGH retains the other 50%.
  2. "Net" means after VAT and any bank charges. Developer incentives, bonuses or rebates offered to the buyer are not commission.
  3. The Referrer is responsible for its own taxes. If the Referrer is VAT-registered in the UAE, VAT is added to its invoice.

6. Payout

  1. Commission becomes due only when: (a) the buyer has signed the sale and purchase agreement; (b) the buyer has reached the developer's commission-release threshold; and (c) the developer's commission has cleared in AGH's bank account.
  2. AGH prepares the invoice, the Referrer signs it in the portal, and AGH pays within 14 days of clearance by bank transfer to an account in the Referrer's legal name. No cash and no payment to third parties.
  3. If the sale is cancelled or the developer reclaims any commission, the Referrer's share is reduced or refunded in the same proportion within 30 days.
  4. Nothing is payable for an introduction, meeting, viewing, reservation or booking alone.

7. Conduct

  1. The Referrer introduces only; it must not market, advertise, list, share projects, prices or marketing material, negotiate, advise, arrange viewings, or handle client money.
  2. The Referrer must not use AGH's name, logo, website, documents or materials, or present itself as acting for AGH or any developer.
  3. All communication is by email through the portal after KYC activation. A breach of this clause voids commission on the affected introduction and allows AGH to terminate immediately.

8. Relationship, data and confidentiality

  1. The Referrer is an independent introducer, not an employee, agent, partner or representative of AGH.
  2. The Referrer confirms each buyer agreed to be introduced. Both parties keep client and commercial information confidential and comply with UAE data protection and anti-money-laundering law.

9. Term and termination

  1. The agreement runs for 12 months from signature and renews automatically. Either party may end it on 30 days' written notice by email.
  2. Buyers accepted before termination continue to completion under these terms, unless termination is for breach of clause 7.

10. Law and disputes

  1. This agreement is governed by the laws of the Emirate of Dubai and the UAE. Disputes go to the courts of Dubai. The English text governs.
